Fred Pletcher is Chair of BLG’s National Mining Group and a partner in its Securities and Capital Markets Group. Based in Vancouver, Fred focuses his practice on mining, corporate finance, mergers & acquisitions, corporate governance, securities and general corporate commercial work. He is recognized as a leading lawyer in these areas by the foremost legal rankings publications.
In the mining field, Fred acts for Canadian and international mining companies in connection with: acquisitions and dispositions of mines, development projects and exploration properties; options agreements; joint venture agreements; project finance; royalty, streaming, off-take and ore sales agreements; confidentiality agreements; tenure issues; permitting; and NI 43-101 reporting obligations. In the area of corporate finance, he acts for both issuers and underwriters in a wide variety of public debt and equity offerings and private placements, including: IPOs; cross-border and MJDS offerings; and income fund, REIT, structured and flow-through product offerings. In M&A transactions, Fred acts for acquirers, targets and special committees in connection with: friendly and unsolicited take-over bids; plans of arrangement and amalgamations; proxy fights; asset purchases and sales; and spin-offs. He also advises Canadian public companies, boards of directors and special committees on corporate governance matters and day-to-day securities compliance issues.
Dionysios Rossi
Partner, Borden Ladner Gervais LLP
Dionysios Rossi is a partner in our Vancouver office. Dionysios practises in the area of civil litigation, with a focus on transportation and maritime law, oil and gas law, and environmental law. Prior to joining BLG, Dionysios served as a judicial law clerk to several justices of the British Columbia Supreme Court.
Dionysios frequently speaks and publishes on a wide variety of legal subjects. His work has appeared in general interest publications such as the Vancouver Sun and Business in Vancouver, trade publications such as Western Mariner and The Environmental Managers Association of British Columbia Journal, and in legal publications such as The Transportation Lawyer, The Lawyers Weekly, The Verdict, and in various Continuing Legal Education Society of British Columbia practice manuals and books.
Dionysios has represented clients before the Federal Court and the Federal Court of Appeal, all levels of court in British Columbia, and before a number of administrative tribunals.
Kenneth J. Tyler
Counsel, Borden Ladner Gervais LLP
Kenneth Tyler is Regional Head of BLG’s Aboriginal Law Focus Group and counsel in its Environmental, Municipal, Expropriation and Regulatory Group. Based in Vancouver, Ken is a litigator who focuses his practice on Aboriginal and Constitutional Law. He has experience with trials and appeals at all levels of court relating to Aboriginal and Treaty rights, the Division of Powers between the federal and provincial legislatures, and the Canadian Charter of Rights and Freedoms. Ken also advises clients on issues related to contracting with First Nations, and the scope of Aboriginal and Treaty Rights.
Before joining BLG in 1998, Ken managed the Constitutional Law Unit of the Department of Justice for the Government of Newfoundland and Labrador, was Coordinator of Constitutional Relations with the Saskatchewan Department of Justice, and Crown Attorney with the Constitutional Branch of the Manitoba Department of Justice, and was President of Tyler, Wright & Daniel Ltd., a small research consulting firm that specialized in historical research on Native land claims and that gave him extensive knowledge regarding the history of western Canada.
