At least one billion US dollars have been put towards ASM formalization over the last 50 years, including $300 million from the World Bank alone. To date, efforts to support the sector have fallen short with respect to formalization, government engagement and calibration of incentives for miners to transition into the formal sector. The World Bank’s framework for ASM is focused on two pillars: legitimacy and professionalism. Partnerships centred on the government are seen as key, and technology is expected to be instrumental in overcoming performance and capacity issues. With more effective support, greater benefits should accrue to multiple stakeholders.</p> <p> </p> <p>About our presenter:</p> <p style="padding-left: 40px;"><strong>BIO: Dr. Rachel Perks</strong> is a senior mining specialist with the Extractive Industries practice of the World Bank. Prior to joining the World Bank, she worked and lived for 12 years in the Horn and Central Africa. She has worked on managing the transition from conflict to peace in countries where natural resources have played a role in conflict, and may equally play a catalytic role in state building. She has spent considerable time in particular in the Great Lakes region, working directly on mining development and reform programs in the Democratic Republic of Congo (DRC). He manages concentrated precious metals and resource portfolios, leveraging his background on both the operational and investment side of the business. Robert joined Dynamic in 1998, and previously worked as a mineral process engineer at Canadian, Chilean and Australian copper and gold mines. There is a close correlation between the mortality rate of the mineral companies and market conditions. Consequently, most mineral resource companies have consistently short lives vs companies in other industrial sector. This presentation highlights first-time data on the relationship between mineral company lifecycles and global trends. From these data to be presented by Doug Silver, companies can have better guidance to manage their financial and asset activities for their shareholders and with longevity.</p> <p> </p> <p>About our presenter:</p> <p><strong>Douglas “Doug” Balfour Silver</strong> graduated from the University of Arizona with a Masters degree in Economic Geology. He launched Colorado-based Balfour Holdings in 1987, where he developed new valuation techniques for a broad range of mines, mineral deposits and exploration projects. His pioneering expertise in valuations improved the due diligence process, set market values, and ultimately contributed to the drafting of industry valuation standards, such as the CIMVAL Code.</p> <p>Doug Silver is a prolific writer and speaker, having given more multiple presentations, including keynote addresses at industry events such as PDAC and CIM conferences. He also supported Canadian mining through the Denver Gold Group, which he conceptualised and founded to introduce gold companies to institutional investors.</p> <p>Early in his career Silver recognised the downstream value of royalty investments, and chose Canada as the place to fulfill his dream of creating not one, but two outstanding royalty portfolios. He co-founded International Royalty Corporation as a private entity in 2003, with only a small royalty from the Hemlo gold project, and then raised $190 million to expand the portfolio. IRC was the largest mining-related initial public offering on the Toronto Stock Exchange in 2005. Silver and his team turned IRC into a $749-million company within seven years by acquiring 86 royalties, with a net smelter royalty on Labrador’s giant Voisey’s Bay nickel project being IRC’s flagship asset.</p> <p>After selling IRC to Royal Gold for a 60% premium in 2010, Silver joined privately-held Orion Resource Partners and focused on building his second royalty portfolio. The portfolio included a diamond stream from Stornoway Diamonds—a Canadian first—and more than a dozen royalties from projects in five Canadian provinces. A valuation may be required for mergers and acquisitions transactions (M&A), government expropriations, capital market transactions, fairness opinions, private equity transactions, taxation purposes, litigation, arbitration, assessment of bank security, insurance claims, accounting purposes, initial public offerings (IPO), or asset disposals.</p> <p>Following the Bre-X scandal, the CIMVAL Code was initiated and released in 2003. It was updated in 2019. It is globally recognised and often referenced in international mining arbitration cases. It covers standards for valuation and reporting and provides detailed guidance on best practices. It includes approaches and methods for the valuation of mineral properties at various stages, from exploration to development and production.</p> <p>The International Mineral Valuation Committee (IMVAL) comprises members of valuation organisations from Australia (VALMIN), Canada (CIMVAL), South Africa (SAMAL), and the USA (SME, IIMA, MMSA), plus observers from other countries. The main purpose is to determine if the property offers sufficient encouragement to justify further expenditures to collect more data for more rigorous economic analysis. A discount rate of 5% is commonly used for cash flow analysis in the PEA to calculate the Net Present Value (NPV). Is the NPV at this discount rate indicative of the market value of the property?</p> <p>To investigate this question, my colleagues and I compiled information on numerous properties with PEAs over the past decade. For those properties that were bought and sold, we compared the NPV of the PEA with the market value of the transaction on each property. For properties that did not transact, we compared the NPV with the adjusted market capitalisation of the company for which the property was its major asset.</p> <p>We observed that the NPVs in the PEAs were significantly higher than both the market values of the transactions and the adjusted market capitalisations. We concluded that to bring the NPV into line with the market value and market capitalisation, a discount rate in the order of 15% to 20% would be required.</p> <p> </p> <p>About our presenter:</p> <p style="padding-left: 40px;"><strong>BIO: Dr. William (Bill) E. The discussion covers the various types of economic studies—preliminary economic assessments, prefeasibility studies, and feasibility studies—and highlights the strict prohibition against including multiple economic scenarios in a single report. While this restriction aims to prevent misleading disclosures, it creates complexities for projects with satellite deposits, phased development plans, or evolving scopes.</p> <p>The presentation further explores how companies navigate these challenges, particularly when re-scoping advanced-stage projects to account for market shifts or operational constraints. The potential risks of non-compliance and inadequate reporting are discussed, including the consequences when projects face unforeseen obstacles or fail to meet investor expectations. Project “failure” does not necessarily result in a total loss, but rather a level of underperformance that significantly impacts stakeholder returns. In my experience, most risks can be managed—or even avoided—by owners and lenders when: 1) comprehensive, independent due diligence is conducted by the right expertise(s) before funding and 2) Independent monitoring or periodic review is carried out during project execution by the right expertise(s).</p> <p>This presentation will highlight common root causes of project underperformance and share lessons learned from a recent mining project in Brazil that ended in liquidation and near-total loss for the company, investors, and senior lenders.</p> <p> </p> <p>About our presenter:</p> <p><strong>BIO: </strong><strong>Justin Norman </strong>is a Managing Director in the Construction, Projects & Assets group at FTI Consulting and has over 25 years of experience in the development and delivery of large-scale heavy industrial and infrastructure projects globally, with specific expertise in mining and metals. Justin is an expert in matters related to capital project management best practices, construction management, risk management and project controls. His project services include due diligence and project readiness reviews; stage gate reviews; project performance assessments; independent engineer and monitoring services for lenders; execution planning; cost and schedule forecasting; and interim project management. Process-safety failures, once largely invisible at the enterprise level, are moving into clearer view, where they will increasingly be measured, scrutinized, benchmarked and linked directly to capital allocation, insurance availability, regulatory scrutiny and social license to operate.</p> <p style="padding-left: 40px;">Drawing on lessons from oil & gas, chemicals and other high-hazard sectors, this session connects the mining sector’s growing focus on critical controls and material unwanted events with the economic reality leaders manage every day: asset availability, unplanned downtime, regulatory intervention, insurability and enterprise value. The differentiating factor is often the sophistication of a successful company in understanding international investment risks and addressing them appropriately.</p> <p>While risks and potential mitigation tools are documented and thus accessible to AI, much depends on knowledge and experience and therefore is not available to AI. Hence, the importance of learning more than AI can provide.</p> <p>Topics to be covered:</p> <p style="padding-left: 40px;">1. Corruption issues.</p> <p style="padding-left: 40px;">Investors are warned against engaging in corruption with the host state government. However, investors are rarely warned about the likely consequences if they fail to pay demanded bribes. Only those who experienced these consequences are aware of them.</p> <p style="padding-left: 40px;">Finding solutions to bribery demands requires experience and know-how. What can be done?</p> <p style="padding-left: 40px;">2. International investment agreements as protectors of investor risk.</p> <p style="padding-left: 40px;">Investors are advised to review any international investment agreements between their home state and the host state. However, whether the host state complies with its obligations under these agreements is a very important factor to investigate. The issue of corruption demanded by the host state is also crucial to this.</p> <p style="padding-left: 40px;">3. Home country management expectations in host country investment often result in successes and failures arising largely out of the first 2 points not being dealt with adequately.</p> <p>This session will examine these issues and others of crucial importance to foreign investors, particularly in the extractives sector.</p> <p> </p> <p>About our presenters:</p> <p style="padding-left: 40px;"><strong>BIO: Keith Minty</strong> has more than 40 years of professional operating and senior management experience in mineral resource exploration and development in Canada and internationally. Mr. Minty is a co-founder of Global Business Risk Management (GBRM), a BRM founded in 2015, a specialized international investment consulting group that identifies and develops strategies to mitigate project economic risks in foreign jurisdictions. While growth has so far proved resilient, a renewed surge in geopolitical risk is reshaping the outlook for trade, consumption and global growth. Stuart will examine how these cyclical forces are colliding with a number of key structural changes to shape the outlook for Canadian exporters and Canada’s economy.</p> <p> </p> <p>About our presenters:</p> <p style="padding-left: 40px;"><strong>BIO: Stuart Bergman</strong> is vice-president & chief economist at Export Development Canada (EDC). Mr. Bergman joined EDC in 2003, and since has held various leadership positions, including vice-president, ESG, deputy chief economist, director of the Economic & Political Intelligence Centre, director of Corporate Strategy and director of the Research and Analysis Division.</p> <p style="padding-left: 40px;">Mr. Bergman is responsible for overseeing EDC’s economic analysis and forecasting, global markets intelligence and corporate research groups. In addition to advising EDC’s senior management and Board of Directors, Mr. Bergman is a featured speaker at conferences, international roundtables and policy fora, and regularly appears in television, radio and print media commenting on the world economy and Canadian international trade issues. He produces a widely circulated print and video weekly commentary covering a range of global economic and business issues.</p> <p style="padding-left: 40px;">Prior to joining EDC, Mr. Bergman worked for Zurich Emerging Markets Solutions and the Foreign Policy Institute, in Washington, D.C. He completed his graduate studies in International Economics and International Relations at the Johns Hopkins University School of Advanced International Studies.
