Abstract: Despite its i nformal nature\, artisanal and small-scale mining (“ASM”) is a creator of wealth. At least one billion US dollars have been put towards ASM formaliz ation over the last 50 years\, including $300 million from the World Bank alone. To date\, efforts to support the sector have fallen short with resp ect to formalization\, government engagement and calibration of incentives for miners to transition into the formal sector. The World Bank’s framewo rk for ASM is focused on two pillars: legitimacy and professionalism. Part nerships centred on the government are seen as key\, and technology is exp ected to be instrumental in overcoming performance and capacity issues. Wi th more effective support\, greater benefits should accrue to multiple sta keholders.

\nBIO: Dr. Rachel Perks is a senior mining spe cialist with the Extractive Industries practice of the World Bank. Prior t o joining the World Bank\, she worked and lived for 12 years in the Horn a nd Central Africa. She has worked on managing the transition from conflict to peace in countries where natural resources have played a role in confl ict\, and may equally play a catalytic role in state building. She has spe nt considerable time in particular in the Great Lakes region\, working dir ectly on mining development and reform programs in the Democratic Republic of Congo (DRC). Her PhD was on the formalization of the artisanal and sma ll-scale mining (ASM) sector in Rwanda\, and the impacts that the regional mineral initiatives have brought to bear on Rwanda’s domestic mineral eco nomic agenda.

\nThis course f ocuses on the skills required to design and create a dynamic financial mod el for a mining company that is developing an open pit mine. Issues relate d to mining\, milling and processing will be discussed. \nDave Thomas co-leads all Canadian client service and operations and is based in T oronto. Dave manages the program design\, content development and client s ervice for Canadian clients in addition to his role as a lead instructor. Since joining Marquee in 2012\, Dave has taught hundreds of courses includ ing training programs for analysts and associates at major banks\, corpora te business development and budgeting teams\, undergraduate and post-gradu ate business students as well as legal professionals in Canada\, the US\, Mexico\, and China. Dave is passionate about teaching and in addition to i nstructing with Marquee\, is a visiting lecturer in Finance at the Ivey Bu siness School.
\nDave worked in Investment Banking for 12 years at B MO Capital Markets. While at BMO\, he was a Director in Equity Capital Mar kets where he oversaw prospectus-offered retail structured products for th e firm as well as numerous equity financings and initial public offerings. Prior to that role\, he was a member of the Utilities Group and was invol ved in numerous financing and mergers & acquisition transactions including significant work in the renewable and alternative power sector.

Abstract: Mining equity valuations vary widely over time and are driven by multiple factors including economic cycles\, commod ity price movements\, operating and financial performance\, risks and inve stor sentiment. Valuation metrics such as EBITDA\, earnings and cash flow per share\, and net present value\, are typically used across the subsecto rs of the mining industry\, capturing short-term and/or long-term financia l performance. The magnitude of the metrics and the multiples at which the equities trade speak volumes about industry developments\, the quality an d growth prospects of the companies in the sector\, and the degree of conf idence that investors have in the outlook. We will take a look at how and why mining equity valuations change over time for precious and base metals and uranium.

About our presenter:
\nBIO: Robert Cohen\, BASc.\, MBA\, CFA\, i s a Vice President and Portfolio Manager at Dynamic Funds. He specializes in the mining industry and is head of the Dynamic Metals & Mining team. He manages concentrated precious metals and resource portfolios\, leveraging his background on both the operational and investment side of the busines s. Robert joined Dynamic in 1998\, and previously worked as a mineral proc ess engineer at Canadian\, Chilean and Australian copper and gold mines. H e has a degree in Mining and Mineral Process Engineering (1992) and a Mast ers of Business Administration (1998) from the University of British Colum bia\, and obtained his Chartered Financial Analyst designation in 2003.
\nBIO: Greg Barnes\, BSc\, MBA\, joined TD Securities in 2005 as the firm’s base metals analyst. H e currently covers the Canadian large capitalization base metal and gold m ining companies and has been an equity analyst for 29 years. He was previo usly a mining analyst for several Canadian independent brokerage firms and has a strong background in industry\, having worked at Kennecott Canada – a subsidiary of Rio Tinto\, Falconbridge Ltd and an engineering consultan cy firm. He has been ranked as an All Star Analyst by Brendan Wood Interna tional for the past 18 years. \n
Doug Silv er is a prolific writer and speaker\, having given more multiple presentat ions\, including keynote addresses at industry events such as PDAC and CIM conferences. He also supported Canadian mining through the Denver Gold Gr oup\, which he conceptualised and founded to introduce gold companies to i nstitutional investors.
\nEarly in his career Silver recognised the downstream value of royalty investments\, and chose Canada as the place to fulfill his dream of creating not one\, but two outstanding royalty portf olios. He co-founded International Royalty Corporation as a private entity in 2003\, with only a small royalty from the Hemlo gold project\, and the n raised $190 million to expand the portfolio. IRC was the largest mining- related initial public offering on the Toronto Stock Exchange in 2005. Sil ver and his team turned IRC into a $749-million company within seven years by acquiring 86 royalties\, with a net smelter royalty on Labrador’s gian t Voisey’s Bay nickel project being IRC’s flagship asset.
\nAfter se lling IRC to Royal Gold for a 60% premium in 2010\, Silver joined privatel y-held Orion Resource Partners and focused on building his second royalty portfolio. The portfolio included a diamond stream from Stornoway Diamonds —a Canadian first—and more than a dozen royalties from projects in five Ca nadian provinces. The portfolio was ultimately sold in 2017 to Osisko Gold Royalties for $1.1 billion\, which made Osisko the third-largest Canadian royalty company.
\nDoug Silver has received numerous awards for his many achievements\, notably from the Society of Mining Engineering\, Meta llurgy and Exploration (SME)\, and is one of three people to be inducted i nto both the Canadian and the U.S. National Mining Hall of Fame.

Com mercial use of space is the provision of goods or services of commercial v alue by using equipment sent into Earth orbit or outer space. The commerci al space industry is experiencing unprecedented growth fueled by technolog ical advancements and reduced launch costs. In particular\, the scale of c ommercial activity in outer space is expanding significantly\, combining w ith artificial intelligence\, robotics\, remote operations and other techn ological capabilities and connectivity to offer opportunities from digital mapping and resource discovery to enhanced communications\, remote health services and resource and environmental management\, as well as emerging potential in space mining and engineering.
\nOver the past decade\, as per the Space Foundation (www. spacefoundation.org)\, the space sector has experienced massive growth in investment activity. Between 2012 and 2021\, total annual investment g rew to more than $10 billion\, from $300 million. Through the first half o f 2022\, investment lagged behind 2021 but remained relatively high by his torical standards\, indicating that the sector may prove resilient despite the challenges of the current market environment. Commercial space revenu es totaled $445 billion in 2023\, 5.4% higher than 2022. By the year 2035\ , the space economy is projected to have grown to $1.8 trillion.

Raman was also involved i n India’s Moon missions (Chandrayaan-2 and Chandrayaan-3)\, contributing t o the Failure Analysis Committee for Chandrayaan-2 and working on trajecto ry design for Chandrayaan-3.
\nHe led operations for India’s first e lectric propulsion satellite in space\, developing SOPs\, conducting scena rio analysis\, and performing ground simulations for space operations. Abstract: The presentation will canvass the national security review (NSR) provision s of the Investment Canada Act (ICA)\, recent amendments to the ICA\, the March 2022 Report of the House of Commons Report of the Standing Committee on Industry and Technology on the Neo Lithium Acquisition\, the announcem ent of Canada’s Critical Minerals Policy in October 2022 and several recen t national security reviews in the critical minerals space (including the ordered divestiture of foreign investments in three Canadian companies in November 2022\, the cancelled sale of a 19.4% interest in SRG Mining to Ca rbon One New Energy\, the cancelled sale of a 15% interest in Solaris Reso urces to Zijin Mining\, Paladin Energy’s proposed acquisition of Fission U ranium and Pan American Silver’s sale of the La Arena mine to Zijin Mining ). The presentation will then discuss legal uncertainties in the applicati on of the NSR regime to non-Canadian transactions\, redomiciling of critic al mineral companies outside of Canada\, the novel use of vendor undertaki ngs to successfully resolve a recent NSR\, the importance of use of procee ds in NSRs and contractual terms and conditions to address NSR issues in a cquisition and investment agreements. Abstract: What is a mining or exploration property worth? A valuation attempts to determine how much a mineral property is worth in dollars or other currencies. A valuation may be required for mergers and acquisitions transactions (M&A)\, government expropriations\, capital mark et transactions\, fairness opinions\, private equity transactions\, taxati on purposes\, litigation\, arbitration\, assessment of bank security\, ins urance claims\, accounting purposes\, initial public offerings (IPO)\, or asset disposals.
\nFollowing the Bre-X scandal\, the CIMVAL Code was initiated and released in 2003. It was updated in 2019. It is globally re cognised and often referenced in international mining arbitration cases. I t covers standards for valuation and reporting and provides detailed guida nce on best practices. It includes approaches and methods for the valuatio n of mineral properties at various stages\, from exploration to developmen t and production.
\nThe International Mineral Valuation Committee (I MVAL) comprises members of valuation organisations from Australia (VALMIN) \, Canada (CIMVAL)\, South Africa (SAMAL)\, and the USA (SME\, IIMA\, MMSA )\, plus observers from other countries. IMVAL has developed a template of mineral property valuation standards\, which can be adopted by the releva nt national organisations of member countries.

\nBIO: Keith Spenc e is CEO and Partner of Global Mining Capital\, which is engaged in Private Equity Investments and M&A globally. The company has extensive funding relationships with its partners in Asia.
\nHe has held positions in investment banking\, capital markets\ , and mining finance at RBC\, Scotia Bank\, and BMO\, and he has been invo lved in numerous Canadian and international mining transactions. As a Geol ogist\, he has experience in gold and base metals exploration in the Canad ian North\, Africa\, China and internationally.
\nKeith is Co-Chair of the globally recognised Canadian Mining Va luation Standards and Guidelines for mining projects\, which is referenced by the Toronto Stock Exchange (TSX-V)\, the Hong Kong Stock Exchange and the Singapore Stock Exchange\, among others. He is also Chair of the Inter national Mineral Valuation Committee (IMVAL). He has published and present ed on mining valuation in Canada and internationally.

BIO: Dr. William (Bill) E. Roscoe is a Geolog ist with more than 50 years of experience in the mining industry in Canada and internationally. After working as an exploration geologist and consul tant\, he co-founded Roscoe Postle Associates Inc. (RPA) in 1985. He serve d as President\, Chairman\, and Chairman Emeritus until its acquisition by SLR Consulting in 2019. He was instrumental in growing RPA into a nationa lly and internationally recognised geological and mining consulting firm w ith offices in Toronto\, Vancouver\, Denver\, and London (UK).
\nSince 1999\, Bill has been Co-Chair of the CIM S pecial Committee on Valuation of Mineral Properties (CIMVAL). The CIMVAL S tandards are now globally recognised and referenced by the TSX-V and other international stock exchanges. He represents CIMVAL on the International Mineral Valuation Committee (IMVAL) and is a past Chair.
\nDr. Roscoe has published many papers and given numerou s presentations and workshops over the past 40 years in Canada and interna tionally on the valuation of mineral properties and mineral resource estim ation. He taught a course for five years on Mineral Resource Estimation as an Adjunct Professor at the University of Toronto.

The financia l model for assessing any potential business or project relies heavily on data. Gaps in data rooms are often more material than optimistic\, pessimi stic\, or benchmark data estimates since risk cannot be identified or quan tified for unknown information. To close these gaps\, site visits are ofte n performed starting after an initial “Stage 1” desktop red flag analysis as part of “Stage 2” of due diligence for mining M&A. Many different execu tives\, business units\, consultants\, and/or investors may end up partici pating in one or more site visits. Abstract: A Preliminary Economic Assessment (PEA) is often the i nitial evaluation of a mineral property after mineral resources have been delineated. The main purpose is to determine if the property offers suffic ient encouragement to justify further expenditures to collect more data fo r more rigorous economic analysis. A discount rate of 5% is commonly used for cash flow analysis in the PEA to calculate the Net Present Value (NPV) . Is the NPV at this discount rate indicative of the market value of the p roperty?
\nTo investigate this question\, my colleagues and I compil ed information on numerous properties with PEAs over the past decade. For those properties that were bought and sold\, we compared the NPV of the PE A with the market value of the transaction on each property. For propertie s that did not transact\, we compared the NPV with the adjusted market cap italisation of the company for which the property was its major asset.
\nWe observed that the NPVs in the PEAs were significantly higher than both the market values of the transactions and the adjusted market capital isations. We concluded that to bring the NPV into line with the market val ue and market capitalisation\, a discount rate in the order of 15% to 20% would be required.

\nBIO: Dr. William (Bill) E. Roscoe is a Geologist with more than 50 years of experience in the mining industry in Canada and internationally. After working as an exploration geologist a nd consultant\, he co-founded Roscoe Postle Associates Inc. (RPA) in 1985. He served as President\, Chairman\, and Chairman Emeritus until its acqui sition by SLR Consulting in 2019. He was instrumental in growing RPA into a nationally and internationally recognised geological and mining consulti ng firm with offices in Toronto\, Vancouver\, Denver\, and London (UK).
\nSince 1999\, Bill has been Co-Chair of the CIM Special Committee on Valuation of Mineral Properties (CIMVAL). The CIMVAL Standards are now globally recognised and referenced by the TSX-V and other international stock exchanges. He represents CIMVAL on the Inter national Mineral Valuation Committee (IMVAL) and is a past Chair.
\nDr. Roscoe has published many papers and give n numerous presentations and workshops over the past 40 years in Canada an d internationally on the valuation of mineral properties and mineral resou rce estimation. He taught a course for five years on Mineral Resource Esti mation as an Adjunct Professor at the University of Toronto.
\nBill Roscoe has a BSc (Eng.) from Queens Universit y and MSc and PhD degrees from McGill University (all in Geological Scienc es). He is a PEng. in Ontario and British Columbia and a Life Member of CI M\, PDAC\, and Association of Mineral Exploration BC.

While this restric tion aims to prevent misleading disclosures\, it creates complexities for projects with satellite deposits\, phased development plans\, or evolving scopes.
\nThe presentation further explores how companies navigate t hese challenges\, particularly when re-scoping advanced-stage projects to account for market shifts or operational constraints. Project “failure” does no t necessarily result in a total loss\, but rather a level of underperforma nce that significantly impacts stakeholder returns. In my experience\, mos t risks can be managed—or even avoided—by owners and lenders when: 1) comp rehensive\, independent due diligence is conducted by the right expertise( s) before funding and 2) Independent monitoring or periodic review is carr ied out during project execution by the right expertise(s).
\nThis p resentation will highlight common root causes of project underperformance and share lessons learned from a recent mining project in Brazil that ende d in liquidation and near-total loss for the company\, investors\, and sen ior lenders.

\nDrawing on lessons from oil & gas\, chemicals and other high- hazard sectors\, this session connects the mining sector’s growing focus o n critical controls and material unwanted events with the economic reality leaders manage every day: asset availability\, unplanned downtime\, regul atory intervention\, insurability and enterprise value. \nWhile risks and potential mitigation tools are documented and thus accessible to AI\, much depends on knowledge and experience and t herefore is not available to AI. Hence\, the importance of learning more t han AI can provide.

\nIn vestors are warned against engaging in corruption with the host state gove rnment. However\, investors are rarely warned about the likely consequence s if they fail to pay demanded bribes. Only those who experienced these co nsequences are aware of them.
\nFinding solutions to bribery demands requires experience and know-how. What can b e done?
\n2. International investment a greements as protectors of investor risk.
\nInvestors are advised to review any international investment agreemen ts between their home state and the host state. However\, whether the host state complies with its obligations under these agreements is a very impo rtant factor to investigate. The issue of corruption demanded by the host state is also crucial to this.
\n3. Hom e country management expectations in host country investment often result in successes and failures arising largely out of the first 2 points not be ing dealt with adequately.

Alison has written many books on legal topics\, primarily i n areas of banking and specialized finance\, and routinely lectures and sp eaks on a wide range of topics. She has undertaken extensive formal educat ion in areas key to her practice\, holding degrees including a DBA\, MBA\, LLM\, and MSc.\, and certificates in the advanced Canadian Securities Ins titute programs. Alison holds her Doctorate of Business Administration fro m the Henley Business School. She is also an adjunct professor at Osgoode Hall Law School teaching the LLM International Finance program\, and has b een practicing in the field of commercial law since 1979.
\n\n< p style='padding-left: 40px\;'>BIO: Ashley Glen of Export Development Canada (“EDC”) has been structurin g innovative and complementary financing in support of Canadian exporters and investors for 15 years. Since joining EDC in 2011\, Ashley has worked exclusively within EDC’s Structured and Project Finance Group with a focus on extractive industries (including mining\, metals\, pipelines and natur al resources). In 2021\, Ashley assumed her current role as Director – Ext ractive Industries\, Structured & Project Finance\, leading the team respo nsible for underwriting project financings in the mining\, metals and reso urces sector. In her current role\, she is also focused on finding innovat ive debt solutions that support the build-out of critical mineral supply c hains and the integration of sustainable technologies for Canadian exporte rs in the extractive sector. \nDave Thomas co-leads all Canadian client service and operations and is based in Toronto. Dave manages the program design\, content development and client service for Canadian clients in addition to his role as a lead instructor. Since joining Marquee in 2012\, Dave has taught hundreds of c ourses including training programs for analysts and associates at major ba nks\, corporate business development and budgeting teams\, undergraduate a nd post-graduate business students as well as legal professionals in Canad a\, the US\, Mexico\, and China. Dave is passionate about teaching and in addition to instructing with Marquee\, is a visiting lecturer in Finance a t the Ivey Business School.
\nDave worked in Investment Banking for 12 years at BMO Capital Markets. While at BMO\, he was a Director in Equit y Capital Markets where he oversaw prospectus-offered retail structured pr oducts for the firm as well as numerous equity financings and initial publ ic offerings. Prior to that role\, he was a member of the Utilities Group and was involved in numerous financing and mergers & acquisition transacti ons including significant work in the renewable and alternative power sect or.
