Transactional and Legal Trends in the Mining Industry

 

Abstract: Fred R. Pletcher will discuss a number of transactional trends in the mining industry, including:

  • recent public M&A in the mining industry, including consolidation within the gold sector, critical minerals transactions, ESG-driven transactions, syndicated acquisitions, increased foreign investment scrutiny of mining sector deals, and the impact of M&A-focused shareholder activism;
  • mine and development projects disposition and joint venture trends;
  • royalty agreements and metal streaming trends; and
  • indigenous consultation issues, increasing mining nationalism and how it is impacting transaction decisions.

 

About our presenter:

BIO: Fred R. Pletcher is chair of the Mining Group and a partner in the Securities and Capital Markets Group at Borden Ladner Gervais LLP. Fred has 30 years of experience advising public companies, boards, and underwriters in connection with a broad range of transactions and issues. He has a particular focus on companies in the mining industry, both domestically and internationally, and also has considerable experience in the field of shareholder activism. His recent transactions include acting for Pan American Silver Corp. on its US$4.8 billion acquisition of Yamana Gold Inc. and the contemporaneous sale of Yamana’s Canadian assets to Agnico Eagle Mines Limited and the US$747 million financing of Cameco Corporation’s acquisition of Westinghouse Electric Company. Fred has led over $30 billion of public M&A transactions in his career and has been listed on the Merger Links Top Ten M&A Lawyers in Canada league table for each of the past three years. Fred is recognized as a leading lawyer by all major ranking publications, including Chambers, Best Lawyers, IFLR 1000, The Legal 500, Lexpert, and Reuters. He has degrees from Columbia University (LL.M), University of Toronto (LL.B.), and Harvard University (A.B.) and was called to the British Columbia Bar in 1993. Outside of the practice of law, he is a director of the Vancouver Symphony Orchestra.
